These General Terms and Conditions ("GTC") govern the use of the herdy.ch platform (hereinafter "Herdy" or "Platform"), operated by Inoo GmbH, Eichstrasse 17a, 9450 Altstätten, Switzerland (hereinafter "Inoo", "we" or "us"). By registering for and using Herdy, you agree to these GTC.
Herdy is a web-based platform (Software as a Service) for digital herd management for Swiss sheep and goat farmers. The platform includes in particular:

We endeavour to ensure high availability of the Platform. However, there is no entitlement to uninterrupted availability. Planned maintenance work will be announced in advance where possible. We accept no liability for outages or restrictions caused by force majeure, technical failures on the part of third parties or necessary maintenance work.
Use of Herdy is subject to the current price list on our website at herdy.ch/preise. All paid plans may be tested free of charge for 7 days prior to entering into a contract; no fees are charged during the trial period and no credit card details are required.
Price changes will be communicated to you at least 30 days in advance. If you do not agree to a price change, you may cancel your subscription with effect from the next renewal date.
Invoices are payable within 30 days of the invoice date. In the event of late payment, we are entitled, after an unsuccessful reminder, to suspend access to the Platform.
All data you enter into Herdy (animal, treatment, breeding data, etc.) belong to you. We grant you the ability to export your data at any time. Following termination of the contractual relationship, your data will be available for export for 90 days, after which they will be irrevocably deleted.
The Herdy platform, including software, design, texts, graphics and logos, is the intellectual property of Inoo GmbH. By concluding a subscription, you receive a non-exclusive, non-transferable right of use limited to the duration of the contract.
Herdy is provided as a tool for herd management. You bear responsibility for the accuracy of the data entered and for compliance with statutory notification obligations.
We accept no liability for damages arising from inaccurate or incomplete data entries, unavailability of the Platform or use of the Platform as the basis for decisions (e.g. breeding or treatment decisions).
Our liability is limited to the amount you have paid in subscription fees in the 12 months preceding the damaging event.
Liability for intentional acts and gross negligence is reserved in all cases (Art. 100 CO).
The subscription is concluded for the chosen term and renews automatically for the same term unless cancelled at least 30 days before expiry.
Cancellation may be effected at any time via the account settings or by e-mail to info@herdy.ch.
In the event of material breaches of contract (in particular violations of clause 4 or late payment despite a reminder), we are entitled to terminate the contract with immediate effect and suspend access to the Platform.

We reserve the right to amend these GTC at any time. The amended GTC will be communicated to you at least 30 days before they enter into force by e-mail or via the Platform. Continued use of the Platform after the amendments enter into force constitutes acceptance of the amended GTC. If you do not agree to the amendments, you may cancel your subscription with effect from the next renewal date.
Should any individual provision of these GTC be invalid or unenforceable, the validity of the remaining provisions shall not be affected. The invalid provision shall be replaced by a valid rule that comes as close as possible to the economic purpose of the invalid provision.
These GTC are governed by Swiss law, excluding conflict-of-law rules and the UN Convention on Contracts for the International Sale of Goods (CISG).
The place of jurisdiction is Altstätten SG, Switzerland, subject to mandatory statutory places of jurisdiction.
